The first step in forming a Nevada business entity is to file the initial documents with the Secretary of State. NSCN will prepare, execute and file the articles of incorporation, certificates of limited partnership and articles of organization (for limited liability companies) with the Secretary of State. The filings can be done in the standard manner (six to eight weeks), or on an expedited basis (four to five days for an additional fee). Resident Agent:

All business entities that are required to file with the Nevada Secretary of State must have a resident agent. The responsibilities of a resident agent under Nevada State law are:

2. The resident agent is the authorized agent for service of process in the State of Nevada. Service of a summons and complaint against the corporation can be made on the resident agent.

NSCN does not, without prior agreement, forward magazines, catalogs, packages, or bulk mail. We recommend the client have those materials sent directly to their office or residence.

NSCN will also forward outgoing mail for the clients desiring their corporate mail to bear a Nevada postmark.

Telephone and Fax Service: NSCN will provide the client with a Private Corporate Telephone Line that you can list in the Las Vegas Telephone Directory in the Corporate Name. All calls will be answered in the corporate name and greeting. Messages are sent to clients Voice Mail that can be accessed 24 hours a day, 7 days a week. This is another important element in establishing the corporate presence in Nevada, Thus the corporate identity is easily established and the integrity of the corporation is maintained.

NSCN Fax Service: NSCN will provide a general fax number and will receive and forward the faxes received to the clients fax number.

Conference Room: NSCN maintains a conference room for the use of our clients. The conference room is available for use, subject to availability. Computer service, telephone service, fax and e-mail capability are also available to our clients.

1 Week Expedite Service:
If you prefer expedited handling with the Secretary of State there is an additional charge of $350 (7 to 10 day) with the Secretary of State instead of the normal 6 to 8 weeks for processing. We recommend this service or else it can take 6-8 weeks, sometimes even longer for your Articles of Incorporation to be filed due to Nevada's popularity for Incorporating.

INITIAL OFFICERS NOMINEE SERVICES

The Nominee Service provides your Corporation with nominee Directors and Officers for filing with the Secretary of State. The purpose of this is to protect your privacy. Officers and Directors names that are filed with the Secretary of State become public record. On the other hand, by using a Nominee Service, your name does not appear on your Corporations paperwork and is NOT public record.
